By accessing or using PetroBench's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with these terms, you may not use our services.

2. Description of Service

PetroBench provides a cloud-native production engineering platform that includes:

• Rod lift design and simulation software (RodSim)
• Wellbore RodSim Dynamics analysis tools
• Engineering calculation modules
• Real-time collaboration capabilities
• Enterprise integration and API access
• Related professional services and support

3. User Accounts and Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your login credentials secure
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Acceptable Use Policy

You may not use our services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to systems
• Interfere with service operation or availability
• Use automated tools to access services without permission
• Reverse engineer, decompile, or disassemble the platform

5. Intellectual Property Rights

PetroBench retains all rights, title, and interest in the platform, including all intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the services in accordance with these terms.

5.1 Your Content

You retain ownership of content you submit to our platform. By submitting content, you grant us a license to use, modify, and display such content as necessary to provide our services.

6. Payment Terms

For paid services:

• Fees are due in advance and non-refundable unless otherwise specified
• You authorize us to charge your payment method for all fees
• Price changes will be communicated with 30 days' notice
• Overdue accounts may result in service suspension

7. Data and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using our services, you also agree to our Privacy Policy.

8. Service Availability

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue services with reasonable notice, except in emergency situations.

9. Limitation of Liability

To the maximum extent permitted by law, PetroBench shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, regardless of the theory of liability.

10. Indemnification

You agree to indemnify and hold harmless PetroBench from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any rights of another party.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately for violations of these terms. Upon termination, your right to use our services ceases immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Harris County, Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use after changes constitutes acceptance of the modified terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and PetroBench regarding the use of our services.
